Terms of Service

1. About these terms

Scout (“Scout”, “we”, “us”) is operated by [Company legal name]. By creating an account or using the Scout website and apps (the “Service”), you agree to these Terms of Service and our Privacy Policy. If you don't agree, don't use the Service.

“Studio” means anyone using Scout to find people for a production, including production companies, brands, agencies, filmmakers and photographers. “Talent” means anyone with a talent profile. A “Shoot” is any photo, video or other production, including preparation, travel, fittings and wrap.

2. Who can use Scout

• You must be at least 18 years old. Scout does not allow profiles for minors, including profiles created by a parent or guardian.
• You must give accurate information and keep it up to date, including your name, photos, abilities and availability.
• One person, one account. Studio accounts may be used by the business they represent.
• You are responsible for keeping your password safe and for everything done through your account.

3. Scout is a platform only

Scout is an online meeting place. It lets Studios find Talent, post casting calls, send casting requests and exchange messages. Scout is not a talent agency, employer, production company, broker, payment processor or insurer, and it does not represent either side.

• Any agreement to work together (a “Booking”) is made directly and only between the Studio and the Talent. Scout is not a party to it, and accepting a casting request on Scout does not by itself create a contract with Scout.
• Scout does not employ Talent. Nothing on Scout creates an employment, agency, partnership or joint-venture relationship with Scout.
• Scout does not screen, vet, background-check or verify users, productions, rates, locations or claims made on profiles, casting calls or messages, unless we clearly say otherwise for a specific feature.
• Scout does not guarantee that any Talent will be booked, or that any Studio will find suitable Talent.

4. What Scout is not responsible for

To the fullest extent the law allows, Scout and [Company legal name] are not responsible or liable for:

• Payment. Rates, fees, invoices, expenses, deposits, overtime, usage or buyout fees, taxes, deductions, and whether or when anyone is paid. Payment terms are agreed and settled directly between the Studio and the Talent. Scout does not collect, hold or guarantee any money.
• Anything that happens on or around a Shoot. This includes the conduct of any person; injuries, illness or death; accidents during sports, stunts, outdoor or water activities; travel; weather; loss, theft or damage to property or equipment; and working conditions.
• Cancellations, no-shows, delays or changes made by either party, and any costs that result.
• The accuracy of profiles, ability levels, availability, casting calls, rates or any other content users post.
• Rights and permissions, including model and location releases, image and usage rights, permits, union rules, and compliance with employment, tax, health-and-safety and other laws.
• Disputes between users. Scout has no obligation to take part in resolving them.

You take part in any Booking or Shoot at your own risk. Use good judgment: meet in professional settings, confirm details in writing, and leave any situation that feels unsafe.

5. Your responsibilities

Studios are responsible for:

• Paying Talent the agreed amount, on the agreed terms.
• Providing a safe set, appropriate supervision for activities, and any required insurance, permits and safety measures.
• Obtaining written releases and agreeing usage rights for any images or footage before use.
• Describing the work, conditions, any nudity, risks or physical demands honestly and in advance.
• Complying with all laws that apply to the production and to engaging Talent.

Talent are responsible for:

• Representing their skills, ability levels and availability honestly, and only performing activities they can do safely.
• Reviewing and agreeing terms, rates, usage and releases before a Shoot.
• Their own taxes, insurance and any licences or certifications an activity requires.

We strongly recommend that Studios and Talent put every Booking in a written agreement covering rate, dates, call times, cancellation, usage rights, expenses and safety.

6. Rules for using Scout

You agree not to:

• Harass, threaten, discriminate against, or exploit anyone, or send sexual content or requests that weren't clearly part of an agreed, lawful production.
• Post false, misleading or fraudulent profiles, casting calls or offers, or impersonate anyone.
• Ask Talent to pay to be considered for work, or request bank details, ID documents or passwords through messages.
• Upload photos of other people without their permission, or content you don't have the rights to.
• Use Scout to recruit for illegal, adult or unsafe work, or to contact people for purposes unrelated to productions.
• Scrape, copy or collect other users' information, or interfere with the Service or its security.

We may remove content, limit features, or suspend or close accounts that break these rules or put others at risk.

7. Your content

You keep ownership of the photos, text and other content you post. You give Scout a non-exclusive, worldwide, royalty-free licence to store, resize, display and share that content within the Service so it can work (for example, showing your profile to Studios). This licence ends when you delete the content or your account, except for copies kept briefly in backups or where the law requires us to keep them.

Posting your photos on Scout does not give Studios any right to use them in a production, advertisement or elsewhere. That requires a separate agreement with you.

You confirm you have the rights to everything you post, and that it doesn't break any law or anyone else's rights.

8. Fees

Scout is currently free to use. If we introduce paid features or fees, we will tell you in advance and they will only apply once you agree to them.

9. No warranties

The Service is provided “as is” and “as available”. To the fullest extent the law allows, we make no promises that it will be uninterrupted, error-free or secure, or that information on it is accurate, and we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.

10. Limit of liability

To the fullest extent the law allows, [Company legal name] and its owners, employees and partners will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, earnings, data or opportunities, arising from your use of Scout, any Booking, any Shoot, or the conduct of any user, whether online or offline.

Our total liability for any claim relating to the Service is limited to the greater of the amount you paid Scout in the 12 months before the claim, or CAD $100. Some places don't allow certain limits, so some of these may not apply to you.

11. Indemnity

You agree to defend and compensate [Company legal name] for any claims, losses, damages and costs (including reasonable legal fees) arising from your content, your Bookings or Shoots, your breach of these terms, or your violation of any law or anyone else's rights.

12. Closing your account

You can stop using Scout at any time. To delete your account and data, email [contact email]. We may suspend or close accounts that break these terms or the law, or that put others at risk. Sections 3, 4, 7 and 9 to 13 continue to apply after an account is closed.

13. General

• These terms are governed by the laws of the Province of British Columbia, Canada, and the courts there have jurisdiction over any dispute.
• We may update these terms. If changes are significant, we'll tell you by email or on the site before they take effect. Using Scout after that means you accept them.
• If any part of these terms can't be enforced, the rest still applies.
• These terms and the Privacy Policy are the whole agreement between you and Scout about the Service.
